Terms of Service

1. Acceptance of Terms
By accessing or using the Karat application ("Service") operated by Karat ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
These terms apply to all users of the Service, including shop owners, managers, staff members, and any other persons granted access.
2. Description of Service
Karat is a gold jewellery shop management application providing billing, inventory management, job order tracking, customer scheme management, financial accounting, and related business tools. The Service is available as:
- SaaS (Cloud): Web application at app.karat.in
- Desktop: Windows application with local database
- PWA: Progressive Web App for mobile devices
3. License & Activation
- Access to Karat requires a valid license key provided by us.
- Each license key is issued for a specific shop and may not be shared, resold, or transferred without our written consent.
- License keys are bound to a limited number of devices as specified by your plan.
- We reserve the right to revoke a license key if these terms are violated.
4. Plans & Pricing
- Trial: Free for 14 days, limited to 1 device. Full feature access.
- Basic: ₹500/month, 1 device, 1 user. Core features.
- Pro: ₹1,000/month, 3 devices, 5 users. All features including schemes, gold bank, and team management.
- Enterprise: Custom pricing. Unlimited devices and users with multi-branch support.
- Prices are subject to change with 30 days' written notice.
- All prices are exclusive of applicable taxes (GST/VAT).
5. Payment Terms
- Payment is due at the start of each billing period (monthly or as agreed).
- Failure to pay within 15 days of the due date will result in the account being placed in read-only mode (grace period).
- After the grace period, access may be suspended until payment is received.
- We accept payments via bank transfer, UPI, and other methods as communicated.
6. Your Responsibilities
As a user of Karat, you agree to:
- Provide accurate business information during registration
- Maintain the confidentiality of your account credentials
- Use the Service only for lawful business purposes
- Comply with all applicable tax laws and regulations in your jurisdiction
- Maintain your own backups of critical business data
- Not reverse-engineer, decompile, or attempt to extract the source code
- Not use the Service to process fraudulent transactions
- Not share your license key or account credentials with unauthorized parties
7. Data Ownership
You retain full ownership of all business data you enter into Karat. We do not claim any intellectual property rights over your data. You grant us a limited license to host, store, and process your data solely for the purpose of providing the Service.
You may export your data at any time using the built-in export features or by requesting a data export from us.
8. Service Availability
- We aim to maintain 99.9% uptime for the cloud service but do not guarantee uninterrupted access.
- Scheduled maintenance will be announced in advance when possible.
- We are not liable for downtime caused by internet service providers, hosting providers, or circumstances beyond our control.
- The desktop version operates independently and is not affected by cloud service availability.
9. Limitation of Liability
To the maximum extent permitted by law:
- Karat is provided "as is" without warranties of any kind, express or implied.
- We are not liable for any indirect, incidental, special, or consequential damages.
- Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.
- We are not responsible for business decisions made based on data or reports generated by the Service.
- We are not liable for data loss caused by user error, device failure, or failure to maintain backups.
10. Intellectual Property
The Karat application, including its design, code, logos, and documentation, is owned by us and protected by intellectual property laws. Your license does not grant ownership of the software — only the right to use it according to these terms.
11. Termination
- You may stop using the Service at any time. No refunds are provided for unused portions of a billing period.
- We may suspend or terminate your access for violation of these terms, non-payment, or illegal use.
- Upon termination, your data will be retained for 90 days, after which it may be permanently deleted.
- You may request a data export before or after termination within the retention period.
12. Modifications to Terms
We may modify these terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use of the Service after changes constitutes acceptance.
13. Governing Law
These terms are governed by the laws of India. Any disputes shall be resolved through arbitration in accordance with the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Bengaluru, India.
